- Delivery: All items shall be delivered to the Alpenblick Ophthalmology Center, Ludwigstraße 42, 80539 Munich, Germany, no later than 30 August 2025. Delivery shall be DAP (Delivered at Place) Munich per Incoterms 2020. The supplier bears all risk and cost of transport until the goods are placed at the disposal of the buyer at the Munich facility.
- Payment: Payment shall be made within 30 days of receipt of a valid invoice and confirmed delivery. Payment shall be processed via SEPA bank transfer to the supplier's designated account in Germany. Late payments shall incur interest at the statutory rate under § 288 BGB (German Civil Code).
- Warranty: The supplier guarantees a minimum 24-month warranty on all capital equipment from the date of installation. The Ophthalmologist and clinical staff shall be provided with full technical documentation in German and English.
- Compliance: All products must comply with applicable German and European regulations, including the Medical Devices Regulation (EU) 2017/745, the German Medical Devices Act (MPDG), and all relevant DIN/EN standards. The supplier shall provide all necessary conformity certificates with this Purchase Order's delivery.
- Installation and Training: The supplier shall provide on-site installation at the Munich, Germany location and conduct a minimum of 8 hours of hands-on training for the Ophthalmologist and up to 6 clinical staff members. Training materials shall be provided in German.
- Acceptance: The Ophthalmologist or her designated representative shall have 14 calendar days from the date of delivery to inspect and test all equipment. Acceptance shall be confirmed in writing. Any defects or non-conformities must be reported within this period.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all patient data, clinical protocols, and proprietary information exchanged in connection with this Purchase Order, in accordance with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR).
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Munich, Germany.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated restrictions affecting operations in Germany Munich or elsewhere in the European Union.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements or informal communications shall not constitute a valid amendment to this document.
