Terms and Conditions of This Purchase Order
- This Purchase Order is governed by the laws of the Republic of Ghana and shall be interpreted in accordance with the Ghanaian Commercial Code and applicable procurement regulations of the Ministry of Health, Accra.
- All ophthalmic equipment and supplies listed in this Purchase Order must comply with the standards set by the Ghana Food and Drugs Authority (FDA) and the West African Health Organisation (WAHO). The Ophthalmologist, Dr. Kwame Asante, shall provide certificates of conformity for all medical devices and pharmaceutical products.
- Delivery of all items shall be made to the Ophthalmology Unit at Korle-Bu Teaching Hospital, Accra, Ghana, no later than 28 June 2025. Late delivery shall attract a penalty of 1% of the total Purchase Order value per day of delay, up to a maximum of 10%.
- Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice and confirmation of satisfactory delivery and installation of all ophthalmic equipment. The Ophthalmologist's professional service fees shall be invoiced separately upon completion of the contracted hours.
- The Ophthalmologist, Dr. Kwame Asante, warrants that all surgical supervision, consultation, and training services rendered under this Purchase Order shall be performed in accordance with the ethical and professional standards of the Ghana Medical and Dental Council (GMDA) and the International Council of Ophthalmology (ICO).
- All imported ophthalmic equipment shall be subject to inspection by the Ghana Standards Authority upon arrival at the Tema Port or Accra Airport. The supplier shall bear all costs associated with customs clearance, import duties, and levies as indicated in this Purchase Order.
- A warranty period of not less than twenty-four (24) months shall apply to all capital ophthalmic equipment. The Ophthalmologist shall provide a minimum of two (2) on-site maintenance visits per year at the Accra facility during the warranty period at no additional cost.
- This Purchase Order becomes effective upon signature by both parties. Any amendments to this Purchase Order must be made in writing and signed by both the purchasing authority of Accra Vision Care & Ophthalmic Services Limited and the Ophthalmologist supplier.
- Disputes arising from this Purchase Order shall be resolved through mediation in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana. If mediation fails, the matter shall be referred to the courts of competent jurisdiction in Accra.
- The Ophthalmologist shall maintain full professional indemnity insurance coverage of not less than GHS 5,000,000 for the duration of this Purchase Order and shall provide a certificate of insurance upon request.
