Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Apex Vision Care Pvt. Ltd., India Bangalore, and is valid for acceptance within seven (7) calendar days from the date of issue. The Ophthalmologist or the supplier entity must confirm acceptance in writing via email to [email protected].
- All ophthalmic equipment and consumables listed in this Purchase Order must comply with the standards set by the Central Drugs Standard Control Organisation (CDSCO), India, and must carry valid BIS certification where applicable.
- The Ophthalmologist providing diagnostic and consultation services under this Purchase Order must hold a valid registration with the Karnataka Medical Council (KMC) and a current Certificate of Practice for Ophthalmology in India Bangalore.
- Delivery of all capital equipment (Slit Lamp, Phoropter, OCT, Fundus Camera) shall be made to the Apex Vision Care Centre, Koramangala, India Bangalore, on or before 30 June 2025. Installation and initial calibration shall be completed within five (5) working days of delivery.
- Payment shall be processed via NEFT/RTGS to the bank account designated by the Ophthalmologist or supplier. A valid tax invoice with GSTIN shall accompany each delivery. Payment is due within thirty (30) days of receipt of a correct invoice.
- All equipment carries a minimum manufacturer warranty of two (2) years. The annual maintenance contract (Item 8) covers preventive maintenance, software updates, and calibration for the Ophthalmologist's diagnostic suite.
- This Purchase Order is governed by the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
- The Ophthalmologist shall maintain strict patient confidentiality in accordance with the Digital Personal Data Protection Act, 2023, and all records generated during the screening programme shall be stored securely at the India Bangalore facility.
- Any modification to the scope, quantity, or pricing in this Purchase Order must be documented in a written amendment signed by both parties. Verbal modifications are not binding.
- This Purchase Order does not constitute a long-term employment or contractual relationship between Apex Vision Care Pvt. Ltd. and the Ophthalmologist. The engagement is strictly for the services and goods specified herein.
