- Delivery: All items listed in this Purchase Order shall be delivered to the Dr. Amir Hosseini Ophthalmology Center located at 12, Valiasr Street, 16th Floor, Unit 4, Tehran, Iran. Delivery must be completed within 21 calendar days from the date of this Purchase Order. The supplier is responsible for all transit insurance and packaging suitable for precision ophthalmology instruments.
- Payment Terms: Payment shall be made in two installments: 40% (1,077,520,000 IRR) upon confirmation of this Purchase Order via bank transfer to the supplier's designated account, and the remaining 60% (1,616,280,000 IRR) within 15 business days after successful delivery, installation, and acceptance inspection of all ophthalmology equipment by the ophthalmologist and the center's biomedical engineering team.
- Warranty: All capital ophthalmology equipment (items 1, 3, 6, and 7) shall carry a minimum 24-month manufacturer's warranty covering parts and labor. Consumable supplies (items 2, 4, 5, and 8) are non-returnable once opened. The ophthalmologist reserves the right to reject any item that does not meet the specifications stated in this Purchase Order.
- Regulatory Compliance: The supplier guarantees that all ophthalmology devices and pharmaceutical supplies comply with the regulations of the Iranian Food and Drug Administration (IFDA) and the Ministry of Health and Medical Education of the Islamic Republic of Iran. Valid IFDA registration certificates must accompany each shipment.
- Installation & Training: The supplier shall provide on-site installation of the IOLMaster 700 and OCT probe systems at the Tehran facility. A minimum of 8 hours of hands-on training for the ophthalmologist and two clinical assistants is included at no additional cost.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions affecting international medical supply chains, or civil unrest in the Tehran metropolitan area.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the Civil Code of the Islamic Republic of Iran. Any disputes shall be resolved through the competent commercial courts of Tehran, Iran.
- Confidentiality: All patient data, clinical protocols, and operational details of the ophthalmologist's practice in Tehran shall remain strictly confidential. The supplier shall not disclose any information obtained during the fulfillment of this Purchase Order to third parties.
