All items under this Purchase Order shall be delivered to the Kyoto Ophthalmology Medical Group facility located at 78-2 Gionmachi, Higashiyama-ku, Japan Kyoto, 605-0073. Delivery must be completed no later than 30 July 2025. The supplier is responsible for all freight, insurance, and customs clearance (if applicable for imported components). Large equipment items (Items 01, 02, 03, and 10) require on-site installation, calibration, and a 48-hour operational verification period supervised by the lead Ophthalmologist and the clinic's biomedical engineering team. The supplier must provide a minimum of 72 hours' advance notice before delivery to coordinate with the clinic's surgical schedule and ensure the operating theatre is available for equipment placement.
- Payment Method: Bank transfer (Zenshin) to the supplier's designated account.
- 30% advance payment upon acceptance of this Purchase Order.
- 60% payment upon confirmed delivery and successful installation in Japan Kyoto.
- 10% retention payment released 90 days after final acceptance, provided no defects are identified.
- All invoices must reference Purchase Order No. PO-KYO-2025-04872.
The supplier warrants that all ophthalmic devices and consumables listed in this Purchase Order are fully registered with the Japan PMDA and carry valid CE or equivalent certification. The Ophthalmologist in charge at our Kyoto facility will conduct a final quality inspection upon receipt. Any item found to be non-conforming, expired, or lacking proper Japanese-language labeling will be rejected at the supplier's expense. The supplier shall provide full technical documentation, user manuals in Japanese, and warranty certificates (minimum 24 months for capital equipment) with each delivery.
Capital equipment (Items 01, 02, 03, 10) carries a minimum 24-month comprehensive warranty covering parts and labor. The supplier must maintain a dedicated technical support line accessible to our Ophthalmologist staff in Kyoto during business hours (08:00–18:00 JST, Monday through Saturday). Response time for critical equipment failures shall not exceed 4 business hours. Annual preventive maintenance contracts are to be quoted separately and are not included in this Purchase Order.
This Purchase Order may be amended only by mutual written agreement between the Kyoto Ophthalmology Medical Group and MedTech Ophthalmic Solutions K.K. Cancellation of any line item after the advance payment has been issued will incur a 15% restocking fee. The supplier shall not subcontract any portion of the delivery or installation without prior written consent from the purchasing authority in Japan Kyoto.
