Terms and Conditions – Purchase Order for Ophthalmologist Services in Japan Osaka
- This Purchase Order is issued in accordance with the Medical Services Procurement Regulations of Japan Osaka Prefecture and the National Health Insurance Act of Japan. All services rendered by the Ophthalmologist shall comply with the standards set by the Japan Ophthalmological Society.
- The Ophthalmologist (Dr. Kenji Tanaka) shall maintain valid medical licensure issued by the Japan Osaka Medical Association throughout the duration of this Purchase Order. Any lapse in licensure shall constitute immediate grounds for termination.
- All ophthalmic procedures and diagnostic services specified in this Purchase Order shall be performed at the designated facility in Japan Osaka, or at such other location within the Japan Osaka metropolitan area as mutually agreed upon in writing.
- Payment shall be remitted within thirty (30) calendar days of receipt of a valid invoice from the Ophthalmologist. Late payments shall accrue interest at the rate of 1.5% per month as stipulated by Japan Osaka commercial law.
- The Ophthalmologist shall maintain comprehensive malpractice and professional liability insurance with a minimum coverage of 500,000,000 JPY, valid throughout the term of this Purchase Order in Japan Osaka.
- All patient data collected during the course of services under this Purchase Order shall be handled in strict compliance with Japan's Act on the Protection of Personal Information (APPI) and the Japan Osaka data governance framework.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, all completed ophthalmic services shall be invoiced and settled within fifteen (15) days.
- This Purchase Order shall be governed by and construed in accordance with the laws of Japan, with jurisdiction vested in the Osaka District Court, Japan Osaka.
- The Ophthalmologist warrants that all equipment, instruments, and pharmaceuticals procured under this Purchase Order shall meet the quality standards established by the Japan Osaka Pharmaceutical and Medical Devices Agency (PMDA).
- Any amendments to this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal modifications shall hold no legal force within the jurisdiction of Japan Osaka.
