All equipment and materials referenced in this Purchase Order shall be delivered to the Tokyo Metropolitan Ophthalmology Center located in Chuo-ku, Japan Tokyo, no later than July 25, 2025. The Seller is responsible for all transportation, insurance, and handling costs up to the point of delivery within Japan Tokyo. Installation and commissioning of all major diagnostic and surgical systems must be completed within five (5) business days of physical delivery. The Seller shall assign a dedicated technical engineer to be present on-site in Japan Tokyo during the installation period to ensure full compliance with the Ophthalmologist's operational requirements and the facility's clinical workflow standards.

  1. This Purchase Order is subject to the Commercial Code of Japan and all applicable regulations governing medical device procurement in Japan Tokyo.
  2. All ophthalmic equipment supplied under this Purchase Order must carry valid certification from the Pharmaceuticals and Medical Devices Agency (PMDA) of Japan and must meet the quality standards required for use by a licensed Ophthalmologist in a clinical setting.
  3. The Seller warrants that all goods are new, unused, and free from defects in materials and workmanship for a period of no less than twenty-four (24) months from the date of installation in Japan Tokyo.
  4. Payment shall be made via bank transfer to the account designated by the Seller within forty-five (45) calendar days of receipt of a valid invoice. Late payments shall accrue interest at a rate of 1.5% per month as stipulated under Japanese commercial law.
  5. The Seller shall provide a comprehensive user manual, technical documentation, and operator training materials in both Japanese and English for all equipment, ensuring the Ophthalmologist and clinical staff can operate all systems with full proficiency.
  6. Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall hold no legal standing.
  7. In the event of non-delivery or defective goods, the Buyer reserves the right to reject the shipment and demand a full refund or replacement within ten (10) business days, without penalty to the Buyer.
  8. All intellectual property rights associated with proprietary software embedded in the supplied ophthalmic devices remain the property of the Seller. The Buyer is granted a perpetual, non-transferable license to use such software solely within the Japan Tokyo facility for the practice of the Ophthalmologist.
  9. Disputes arising from this Purchase Order shall be resolved through mediation in Tokyo, Japan, and if unresolved, shall be submitted to the jurisdiction of the Tokyo District Court.
