  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Kazakhstan and the Commercial Code of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved in the Almaty City Court, Kazakhstan Almaty, in accordance with applicable Kazakhstani law.
  2. Delivery: All equipment and materials specified in this Purchase Order must be delivered to the premises of Almaty Vision Care Center LLP at 45 Abai Avenue, Almaty, Kazakhstan, no later than 30 July 2025. Delivery shall be made in accordance with the logistics standards applicable in Kazakhstan Almaty for medical equipment transport.
  3. Quality Assurance: The supplier warrants that all ophthalmology equipment delivered under this Purchase Order shall be new, unused, and in full compliance with the technical specifications provided by the Ophthalmologist team. All devices must carry valid certification from the State Service for Control of the Pharmaceutical and Medical Sphere of the Republic of Kazakhstan.
  4. Payment: Payment of 100,600,000 KZT (One Hundred Million Six Hundred Thousand Tenge) shall be made within thirty (30) calendar days of the date of receipt and acceptance of all goods and services listed in this Purchase Order. Payment shall be transferred via bank wire to the IBAN specified in Section 2.
  5. Warranty: The supplier shall provide a minimum two-year warranty on all capital equipment. During the warranty period, any defects in materials or workmanship shall be repaired or replaced at no additional cost to the buyer. The Ophthalmologist team shall notify the supplier in writing within fourteen (14) days of discovering any defect.
  6. Regulatory Compliance: The supplier confirms that all items listed in this Purchase Order are registered and approved for use in the Republic of Kazakhstan. The supplier shall provide all necessary documentation, including certificates of conformity, import permits, and technical passports, prior to delivery in Kazakhstan Almaty.
