- This Purchase Order is issued by Nairobi Vision Care Centre Ltd., Nairobi, Kenya, and constitutes a binding agreement for the procurement of ophthalmology services and related medical supplies as detailed above.
- All services shall be rendered by the named Ophthalmologist, Dr. Amina Wanjiru Ochieng, or by a duly qualified substitute Ophthalmologist approved in writing by the purchasing entity. The substitute must hold a valid license from the Medical Practitioners & Dentists Council of Kenya.
- Services shall be delivered at the Nairobi Eye & Vision Specialist Clinic, Westlands, Kenya Nairobi, or at such other location within Nairobi as mutually agreed upon in writing.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Ophthalmologist's practice. Payment shall be processed via bank transfer to the account specified on the invoice. All payments are subject to the applicable Kenyan tax regulations as administered by the Kenya Revenue Authority (KRA).
- The Ophthalmologist shall maintain full professional indemnity insurance with a minimum cover of KES 10,000,000, valid throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to commencement of services.
- All patient records, diagnostic imaging, and clinical data generated under this Purchase Order shall be stored in accordance with the Data Protection Act, 2019 of Kenya. No patient information shall be shared with third parties without explicit written consent.
- The Ophthalmologist warrants that all equipment, instruments, and pharmaceuticals used in the delivery of services shall be of the highest quality, CE-marked or FDA-approved where applicable, and compliant with the Kenya Bureau of Standards (KEBS) regulations.
- Any cancellation or modification of this Purchase Order must be communicated in writing at least fourteen (14) days prior to the scheduled service date. Cancellations made within fourteen days shall be subject to a 25% administrative fee on the value of the cancelled line items.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995.
- The Ophthalmologist shall provide a written clinical summary and discharge report for each patient within five (5) business days of the final consultation or procedure.
- This Purchase Order is valid for a period of twelve (12) months from the date of issue, unless terminated earlier by mutual written agreement or in accordance with the termination clauses herein.
