Terms & Conditions of This Purchase Order

General Terms Governing This Purchase Order

  1. Acceptance: This Purchase Order is issued by MediSight Healthcare Group Sdn. Bhd. (hereinafter "the Buyer") to Dr. Aisyah binti Rahman, Ophthalmologist, operating under VisionCare Specialist Centre (hereinafter "the Supplier"). Acceptance of this Purchase Order constitutes full agreement to all terms stated herein.
  2. Scope of Services: The Ophthalmologist shall provide all ophthalmic consultations, surgical procedures, diagnostic imaging, and follow-up care as itemised above. All clinical services shall be rendered in accordance with the Malaysian Medical Council (MMC) guidelines and the Malaysian Society of Ophthalmology (MSO) standards of practice.
  3. Delivery & Performance Location: All services and physical supplies referenced in this Purchase Order shall be delivered or performed at the Buyer's facility located in Kuala Lumpur, Malaysia, or at the Ophthalmologist's registered practice in Kuala Lumpur, Malaysia, as mutually agreed per line item.
  4. Payment Terms: Payment shall be made within thirty (30) days from the date of invoice receipt. Payment shall be processed via bank transfer to the Supplier's designated account in Malaysian Ringgit (MYR). The Buyer reserves the right to withhold payment for any disputed line items pending resolution.
  5. Quality & Compliance: The Ophthalmologist warrants that all equipment, surgical kits, intraocular lenses, and pharmaceutical products supplied under this Purchase Order are genuine, unexpired, and compliant with the Malaysian National Pharmaceutical Regulatory Agency (NPRA) and the Ministry of Health Malaysia (MOH) regulations.
  6. Confidentiality: Both parties agree to maintain strict confidentiality of all patient data, clinical records, and proprietary business information exchanged in connection with this Purchase Order, in compliance with the Personal Data Protection Act 2010 (PDPA) of Malaysia.
  7. Liability & Insurance: The Ophthalmologist shall maintain valid professional indemnity insurance with a minimum coverage of MYR 2,000,000 per claim, valid throughout the duration of this Purchase Order. The Buyer shall not be held liable for any adverse clinical outcomes arising from the Ophthalmologist's professional judgment.
  8. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall be liable only for services already rendered and supplies already delivered as of the termination date.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Malaysia. Any disputes shall be resolved through the courts of Kuala Lumpur, Malaysia, or by arbitration under the rules of the Asian International Arbitration Centre (AIAC) in Kuala Lumpur.
  10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Kuala Lumpur, or pandemics declared by the Malaysian government.
Note: This Purchase Order is valid for a period of thirty (30) days from the date of issue. The Ophthalmologist is required to confirm acceptance in writing within five (5) business days. All quantities and prices are subject to the final clinical assessment by the Ophthalmologist at the Kuala Lumpur facility. Any amendments to this Purchase Order must be made in writing and signed by both parties.
