- This Purchase Order is issued by Al-Noor Ophthalmology & Vision Centre, a registered ophthalmic practice in Pakistan Karachi, and constitutes a binding agreement upon acceptance by the supplier. All goods listed herein are intended for clinical use by the resident Ophthalmologist and supporting ophthalmic staff at the Clifton, Karachi facility.
- The supplier shall deliver all items to the practice address in Karachi, Sindh, Pakistan, no later than 28 June 2025. Delivery shall be made between 09:00 and 16:00 hours, Monday through Saturday, in accordance with local business hours in Pakistan Karachi.
- All ophthalmic equipment must be new, unused, and accompanied by valid manufacturer warranties. The Ophthalmologist reserves the right to inspect and test each item upon receipt. Any defective or non-conforming goods must be replaced within seven (7) calendar days at the supplier's sole expense.
- Payment terms: 30% advance payment upon confirmation of this Purchase Order, and the remaining 70% within fourteen (14) days of successful delivery and inspection. Payment shall be made via bank transfer to the supplier's registered account in Karachi, Pakistan.
- The supplier is responsible for all customs clearance, import duties (if applicable), and local transportation within the Karachi metropolitan area. All items must comply with the Pakistan Drug Regulatory Authority (DRAP) and the Pakistan Standards and Quality Control Authority (PSQCA) regulations for medical devices and pharmaceuticals.
- Warranty: All capital equipment (items 1, 2, 8, and 10) shall carry a minimum two-year comprehensive warranty covering parts and labour, serviced at the practice location in Karachi. Consumable items (items 4 through 7 and 9) are non-returnable once opened.
- This Purchase Order is governed by the laws of the Islamic Republic of Pakistan. Any disputes arising from this order shall be resolved through arbitration in Karachi, Sindh, in accordance with the Arbitration Act, 1940 of Pakistan.
- The supplier acknowledges that the goods are procured for a licensed Ophthalmologist practicing in Pakistan Karachi and shall not resell, divert, or sub-license any of the supplied items to third parties without written consent from the purchaser.
- Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed lockdowns, or civil unrest in Karachi or elsewhere in Pakistan, provided that written notice is given within 48 hours of the event.
- This Purchase Order may not be amended, modified, or supplemented except by a written addendum signed by both parties. Verbal agreements are expressly excluded.
