1. Purpose and Scope of This Purchase Order

3. Terms and Conditions
  1. Acceptance: This Purchase Order shall become binding upon written acceptance by the Ophthalmologist within five (5) business days of issuance. Failure to respond within this period shall be interpreted as rejection of this Purchase Order.
  2. Performance Location: All services, surgical procedures, and equipment deliveries specified in this Purchase Order shall be performed at or delivered to the clinical premises of Severny Ophthalmic Medical Center, 42 Fontanka Embankment, Russia Saint Petersburg, 191025, Russian Federation, or at such other location in Russia Saint Petersburg as mutually agreed in writing.
  3. Professional Standards: The Ophthalmologist warrants that all services shall be rendered in accordance with the highest standards of ophthalmic practice as recognized by the Russian Ophthalmological Society and the Federal Service for Supervision in Healthcare. The Ophthalmologist shall maintain valid professional licensure and malpractice insurance throughout the term of this Purchase Order.
  4. Payment Schedule: Payment of 40% of the total Purchase Order value shall be due within 15 days of acceptance. The remaining 60% shall be paid in two equal installments: 30% upon completion of all surgical procedures and 30% upon final acceptance of all deliverables and services.
  5. Confidentiality and Data Protection: All patient medical records and personal data processed under this Purchase Order shall be handled in strict compliance with Federal Law No. 152-FZ "On Personal Data" of the Russian Federation. The Ophthalmologist shall not disclose any patient information to third parties without explicit written consent.
  6. Warranty and Liability: The Ophthalmologist provides a clinical warranty period of twelve (12) months for all surgical procedures. Any complications directly attributable to surgical technique shall be addressed at no additional cost to the issuing entity. The Ophthalmologist's liability under this Purchase Order shall not exceed the total contract value.
  7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or public health emergencies affecting operations in Russia Saint Petersburg.
  8. Dispute Resolution: Any disputes arising from or in connection with this Purchase Order shall be resolved through negotiation in good faith. If unresolved within thirty (30) days, the matter shall be submitted to the Arbitration Court of Russia Saint Petersburg for adjudication under the procedural rules of the Russian Federation.
  9. Amendments: No modification, amendment, or supplement to this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both parties.
  10. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Ophthalmologist shall be compensated for all services rendered and equipment delivered up to the date of termination.
