- Governing Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Riyadh, Saudi Arabia.
- Compliance: All Ophthalmologist-grade medical equipment and consumables supplied under this Purchase Order must comply with Saudi Standards, Metrology and Quality Organization (SASO) regulations and hold valid Saudi Food and Drug Authority (SFDA) registration where applicable.
- Delivery: All items shall be delivered to the Al-Nur Specialist Ophthalmology Center, King Fahd Road, Riyadh, Saudi Arabia. Delivery shall be made within the timeframes specified in the line items above. Late delivery beyond the stipulated period shall incur a penalty of 0.5% of the affected line item value per day of delay, capped at 10%.
- Payment Terms: Payment shall be made via bank transfer to the supplier's designated account within 30 days of receipt of a valid tax invoice and confirmed delivery/acceptance of goods. The total amount of SAR 575,747.50 (Five Hundred Seventy-Five Thousand Seven Hundred Forty-Seven Riyals and Fifty Halalas) is inclusive of 15% Value Added Tax as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
- Warranty: All capital equipment (items 1, 2, and 9) shall carry a minimum 3-year manufacturer warranty. The Ophthalmologist diagnostic units must be covered by on-site service in Riyadh within 24 hours of a reported fault.
- Acceptance and Inspection: The Buyer reserves the right to inspect all delivered goods within 7 business days of arrival at the Riyadh facility. Any non-conforming items must be replaced or repaired at the supplier's sole cost within 14 days.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all patient data, clinical protocols, and proprietary Ophthalmologist treatment methodologies that may be disclosed during the execution of this Purchase Order.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Saudi Arabia Riyadh.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements shall hold no legal standing.
- Anti-Bribery: The supplier warrants compliance with the Saudi Anti-Corruption Authority (Nazaha) regulations. Any breach of this clause shall result in immediate termination of this Purchase Order and legal action.
