- This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising from this Purchase Order shall be resolved through arbitration under the Singapore Singapore International Arbitration Centre (SIAC) Rules.
- All equipment procured under this Purchase Order must comply with the Singapore Singapore Health Sciences Authority (HSA) medical device registration requirements prior to installation at the Ophthalmologist's clinical facility.
- The Ophthalmologist designated under this Purchase Order shall be a registered practitioner with the Singapore Singapore Medical Council and hold a valid subspecialty certification in Ophthalmology.
- Payment terms: 30% advance upon acceptance of this Purchase Order; 60% upon delivery and successful installation in Singapore Singapore; 10% upon completion of a 30-day performance warranty period.
- Delivery of all capital equipment shall be made to the purchasing entity's premises at 128 Orchard Road, Singapore Singapore. The supplier bears all risk of loss until goods are received and signed for by the Ophthalmologist or authorised representative.
- The supplier warrants that all goods are new, unused, and free from defects. The warranty period for capital equipment is a minimum of 24 months from the date of installation in Singapore Singapore.
- Recurring consumable deliveries (Items 05 and 06) shall be made on the first business day of each month to the Singapore Singapore facility. The Ophthalmologist's clinical team shall confirm monthly quantities at least 10 business days prior to each delivery cycle.
- This Purchase Order may not be assigned or transferred without the prior written consent of both parties. Any amendments must be documented in a written addendum signed by both the purchasing entity and the supplier, referencing the original Purchase Order number SG-SG-OPH-2025-04872.
- All data generated through the Ophthalmologist's diagnostic equipment and telemedicine platform shall be stored in compliance with the Singapore Singapore Personal Data Protection Act (PDPA) 2012 and the Singapore Singapore Health Data Governance Framework.
- Force majeure events, including but not limited to government-mandated closures in Singapore Singapore, shall suspend delivery and service obligations without penalty to either party.
