- This Purchase Order is issued by Clínica Oftalmológica Madrid Central, S.L., a legally registered entity in Spain Madrid, and constitutes a binding request for the professional services of the designated Ophthalmologist as detailed in the line items above.
- All services rendered under this Purchase Order shall be performed at the clinic premises located at Calle de Serrano 142, 28006 Spain Madrid, unless otherwise agreed in writing by both parties. The Ophthalmologist shall comply with all applicable regulations set forth by the Madrid Regional Health Authority (Consejería de Sanidad de la Comunidad de Madrid) and the Spanish Ministry of Health.
- The Ophthalmologist shall maintain valid professional registration with the Ilustre Colegio Oficial de Oftalmólogos de Madrid and shall carry professional liability insurance with a minimum coverage of €1,000,000 per claim, as required by Spanish medical practice law (Ley 41/2002 de autonomía del paciente).
- Payment shall be made within thirty (30) calendar days from the date of receipt of a valid invoice, via bank transfer to the account specified by the Ophthalmologist. All invoices must reference this Purchase Order number (PO-2025-OMD-0047) and include the IFSC (NIF) of both parties in compliance with Spanish tax regulations (Ley 58/2003 del Impuesto sobre la Renta de las Personas Físicas and Ley 37/1992 del IVA).
- The Ophthalmologist is obligated to maintain strict patient confidentiality in accordance with the Spanish Organic Law 3/2018 on Personal Data Protection and Digital Rights (LOPDGDD) and the EU General Data Protection Regulation (GDPR). All patient records generated during the performance of this Purchase Order shall be stored at the Spain Madrid clinic facility and shall not be transferred outside the European Economic Area without explicit written consent.
- Any modifications, cancellations, or amendments to this Purchase Order must be made in writing and signed by both the authorized representative of Clínica Oftalmológica Madrid Central, S.L. and the Ophthalmologist. Verbal agreements shall not be binding.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through good-faith negotiation. Should negotiation fail, the dispute shall be submitted to the competent courts of Spain Madrid, and the applicable law shall be Spanish civil and commercial law.
- The Ophthalmologist shall provide a detailed service report at the end of each calendar month, summarizing all procedures performed, patient outcomes, and any complications encountered. This report shall be submitted to the Head of Procurement at the Spain Madrid clinic no later than the fifth business day of the following month.
- This Purchase Order shall remain in effect from the date of issue until the completion of all listed services, unless terminated earlier by mutual written agreement or by either party providing thirty (30) days' written notice of termination for convenience.
- All professional services described herein are subject to the Spanish Code of Medical Ethics (Código de Ética Médica) and the specific regulations governing ophthalmological practice in the Community of Madrid. The Ophthalmologist shall adhere to the highest standards of clinical care and patient safety.
