This Purchase Order is issued by Colombo Eye Care & Medical Services (Pvt) Ltd. to engage the services of a qualified Ophthalmologist and to procure associated ophthalmic equipment, consumables, and specialized medical supplies for the operation of our outpatient and inpatient eye care facilities located in Sri Lanka Colombo. This Purchase Order governs the professional engagement of the Ophthalmologist for a period of twelve (12) months, commencing 01 July 2025, and includes the procurement of all necessary surgical instruments, diagnostic equipment, and pharmaceutical supplies required for the delivery of comprehensive ophthalmic care to patients in the Colombo metropolitan region and surrounding districts of Sri Lanka.

- Engagement of the Ophthalmologist: The Ophthalmologist named in this Purchase Order shall provide all ophthalmic services in accordance with the standards set by the Sri Lanka Medical Council and the College of Ophthalmologists of Sri Lanka. The Ophthalmologist shall maintain valid professional indemnity insurance with a minimum coverage of LKR 50,000,000 throughout the term of this Purchase Order.
- Service Delivery Location: All services rendered under this Purchase Order shall be delivered at the Colombo Eye Care & Medical Services facility located at 142, Galle Road, Colombo 03, Sri Lanka Colombo, or at such other approved location within the Colombo district as mutually agreed in writing.
- Payment Schedule: Payment for professional services shall be made on a monthly basis within thirty (30) days of invoice submission. Equipment and supply payments shall be made in two installments: fifty percent (50%) upon order confirmation and fifty percent (50%) upon delivery and acceptance at the Sri Lanka Colombo facility.
- Quality Assurance: The Ophthalmologist shall adhere to all clinical protocols established by Colombo Eye Care & Medical Services. All surgical procedures shall be documented in the patient management system, and quarterly quality audits shall be conducted by the hospital's medical board.
- Regulatory Compliance: All equipment and pharmaceuticals procured under this Purchase Order must comply with the regulations of the Sri Lanka Standards Institution (SLSI) and the Department of Medical Technology, Ministry of Health, Sri Lanka. Import permits for medical devices shall be obtained prior to shipment to Sri Lanka Colombo.
- Warranty and Support: All capital equipment shall carry a minimum two-year manufacturer's warranty with on-site service support in Colombo, Sri Lanka. The Ophthalmologist shall provide clinical support for any equipment-related procedural issues during the warranty period.
- Confidentiality: Both parties shall maintain strict confidentiality regarding patient data in compliance with the Personal Data Protection Act of Sri Lanka. The Ophthalmologist shall not disclose any patient information obtained during the course of this engagement.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, all outstanding payments for services rendered and equipment delivered shall be settled within thirty (30) days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any disputes shall be resolved through arbitration in Colombo, Sri Lanka, in accordance with the Arbitration Act of Sri Lanka.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to natural disasters, government-imposed restrictions, or other events beyond reasonable control, as may affect operations in Sri Lanka Colombo or elsewhere in the country.
By signing below, both parties acknowledge and agree to all terms, conditions, and line items specified in this Purchase Order. This document constitutes a binding agreement for the procurement of Ophthalmologist services and associated medical supplies for the Sri Lanka Colombo facility of Colombo Eye Care & Medical Services (Pvt) Ltd.
