- This Purchase Order constitutes a binding agreement between the Nile Valley Medical Procurement Authority (hereinafter "the Purchaser") and Dr. Ahmed El-Tahir Ophthalmology & Vision Centre (hereinafter "the Ophthalmologist Supplier") for the provision of ophthalmic medical services and related supplies in Sudan Khartoum.
- All services rendered under this Purchase Order shall be performed by a licensed and board-certified Ophthalmologist holding valid registration with the Sudanese Medical & Dental Council. The Ophthalmologist shall maintain all necessary professional indemnity insurance throughout the contract period.
- Delivery of all physical goods (consumables, lenses, and surgical supplies) shall be made to the designated address in Sudan Khartoum within fourteen (14) calendar days of the date of this Purchase Order, unless otherwise agreed in writing by both parties.
- Payment shall be made in Sudanese Pounds (SDG) within thirty (30) days of receipt of a valid invoice and satisfactory completion of the corresponding service or delivery. Payment shall be processed via bank transfer to the account designated by the Ophthalmologist Supplier.
- The Ophthalmologist Supplier shall comply with all applicable health, safety, and regulatory standards enforced by the Ministry of Health and Population of the Republic of Sudan, as well as all local ordinances applicable to medical practice in Sudan Khartoum.
- Any modification, amendment, or cancellation of this Purchase Order must be documented in a written addendum signed and stamped by both the Purchaser and the Ophthalmologist Supplier. Verbal agreements shall not be enforceable.
- The Ophthalmologist Supplier warrants that all ophthalmic equipment, surgical instruments, and consumables supplied under this Purchase Order shall be new, unused, of the highest quality, and free from defects. A minimum warranty period of twelve (12) months shall apply to all supplied goods.
- In the event of non-performance, delay, or breach of any term of this Purchase Order, the Purchaser reserves the right to withhold payment, impose liquidated damages at a rate of 0.5% per day of delay (capped at 10% of the total contract value), or terminate the agreement with immediate notice.
- All patient data and medical records generated during the course of services under this Purchase Order shall remain the exclusive property of the Purchaser and shall be handled in strict accordance with Sudanese data protection and patient confidentiality regulations.
- This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Sudan. Any disputes arising herefrom shall be resolved through the competent courts of Sudan Khartoum.
- The Ophthalmologist Supplier shall provide a detailed progress report to the Purchaser every thirty (30) days, summarizing the number of patients treated, procedures performed, and any complications encountered, to ensure transparency and accountability in the delivery of ophthalmic care in Sudan Khartoum.
