1. This Purchase Order is issued by Birmingham Metropolitan Health Trust for the procurement of ophthalmic surgical and diagnostic services, associated consumables, and clinical support provided by the named Ophthalmologist and the Birmingham Eye & Vision Centre, located in United Kingdom Birmingham.

2. All clinical procedures referenced in this Purchase Order shall be performed by Dr. Eleanor Whitfield, Consultant Ophthalmologist, or by a suitably qualified and GMC-registered ophthalmic surgeon acting under her direct clinical supervision at the Birmingham practice premises.

3. The Ophthalmologist warrants that all services will be delivered in accordance with the standards set by the General Medical Council (GMC), the Care Quality Commission (CQC), and the Royal College of Ophthalmologists, and shall comply with all applicable NHS England and United Kingdom Birmingham local health authority regulations.

4. Delivery of all physical goods (IOLs, biologic agents, medication kits) shall be made to the Birmingham Eye & Vision Centre, 180 New Street, Birmingham, B2 4HG, United Kingdom, no later than 01 August 2025. Risk and title transfer upon delivery at the named Birmingham location.

5. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice referencing this Purchase Order number (BMHT-2025-OPH-0472). Payment will be processed via BACS transfer to the bank account nominated by the Ophthalmologist's practice.

6. The Ophthalmologist shall maintain full professional indemnity insurance with a minimum cover of £10,000,000 per claim throughout the duration of this Purchase Order. A certificate of insurance shall be provided prior to the commencement of any clinical activity.

7. All patient data collected, processed, or stored in connection with this Purchase Order shall be handled in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. The Ophthalmologist's practice in United Kingdom Birmingham shall act as a data processor under the terms of the Trust's standard data sharing agreement.

8. Any variation to the scope, quantity, or pricing set out in this Purchase Order must be agreed in writing by both parties prior to execution. Unauthorised variations will not be accepted for payment.

9. This Purchase Order is governed by the laws of England and Wales. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.

10. The Ophthalmologist shall provide a monthly activity report to the Procurement Department of Birmingham Metropolitan Health Trust, detailing all procedures performed, consumables used, and any adverse events, for the duration of the contract period.

Notes: This Purchase Order is valid for a contract period of twelve (12) months from the Required Delivery Date. The Ophthalmologist's practice in United Kingdom Birmingham shall ensure that all clinical staff involved in delivering the services listed herein hold current GMC registration and appropriate ophthalmic qualifications. A copy of this Purchase Order shall be retained by both parties for a minimum of seven (7) years in accordance with NHS record-keeping requirements applicable to Birmingham health authorities.
