Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Thames Vision Ophthalmology Centre, a registered healthcare provider operating in London, United Kingdom, and constitutes a binding offer to purchase the goods and services listed above.
- All ophthalmic equipment and devices supplied under this Purchase Order must comply with the UK Medical Devices Regulations 2002 (as amended) and hold valid CE/UKCA marking prior to delivery at the London facility.
- The Ophthalmologist in charge, Dr. Sarah Whitmore, reserves the right to inspect all delivered items within five (5) working days of receipt. Any equipment found to be defective, miscalibrated, or not conforming to the specifications agreed upon will be returned at the supplier's expense.
- Payment shall be made by BACS bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid VAT invoice, in accordance with standard commercial practice in the United Kingdom.
- Delivery of all items must be made to the address specified in the Delivery Address section of this Purchase Order. The supplier is responsible for all transit insurance, packaging, and safe handling of sensitive ophthalmic instruments during transit within London and the United Kingdom.
- Installation, calibration, and initial commissioning of all capital equipment (Items 01, 02, and 03) shall be completed by qualified engineers from the supplier's team at the Ophthalmologist's clinic in London, United Kingdom, at no additional cost beyond what is stated in this Purchase Order.
- The supplier warrants that all goods are new, unused, and free from defects in materials and workmanship for a period of not less than twenty-four (24) months from the date of installation.
- Any variation, amendment, or cancellation of this Purchase Order must be agreed in writing by both parties. Verbal instructions, including those given by the Ophthalmologist or any clinic staff member, do not constitute a valid amendment.
- This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
- The supplier acknowledges that the goods and services procured under this Purchase Order are intended for the direct benefit of patients receiving ophthalmic care from a qualified Ophthalmologist in the London region and must meet the highest standards of clinical safety and performance.
