1. This Purchase Order constitutes a binding agreement between Manchester Royal Ophthalmic Trust (hereinafter "the Trust") and the named Ophthalmologist and their practice (hereinafter "the Supplier") for the provision of ophthalmic clinical services, equipment, and consumables as detailed above.
2. The Ophthalmologist shall hold valid GMC registration, appropriate professional indemnity insurance (minimum cover of £10,000,000 per claim), and a current licence to practise in the United Kingdom. Proof of these credentials must be submitted prior to the commencement of any clinical activity under this Purchase Order.
3. All clinical services must be delivered at the Manchester Eye & Vision Centre, 8 Piccadilly Gardens, Manchester, M1 2JB, United Kingdom, or at such other United Kingdom Manchester location as mutually agreed in writing by both parties.
4. The Ophthalmologist shall maintain a duty of care consistent with the standards expected of a consultant ophthalmologist in the United Kingdom. All surgical procedures must be performed in accordance with the Royal College of Ophthalmologists' clinical guidelines and the Trust's internal clinical governance protocols.
5. Payment shall be made by direct bank transfer within thirty (30) calendar days of receipt of a valid VAT invoice from the Ophthalmologist. Invoices must reference this Purchase Order number (PO-2025-UKM-04872) and be submitted to the Trust's accounts payable department in Manchester, United Kingdom.
6. The Supplier warrants that all equipment supplied under this Purchase Order shall be new, unused, and in full working order. A minimum twelve-month manufacturer's warranty applies to all capital equipment items. Consumables must bear a shelf life of no less than eighteen (18) months from the date of delivery.
7. The Ophthalmologist shall provide a comprehensive written clinical report for each patient treated under this Purchase Order within five (5) working days of the procedure or consultation. All reports must be submitted to the Trust's electronic patient records system hosted in Manchester, United Kingdom.
8. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Trust shall be liable for all services rendered and equipment delivered up to the date of termination.
9. This Purchase Order shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
10. The Ophthalmologist shall not subcontract any clinical services without the prior written consent of the Trust. All patient data processed under this Purchase Order must be stored and processed within the United Kingdom in compliance with UK GDPR.
