- Delivery: All goods and services under this Purchase Order shall be delivered to the Tashkent Regional Ophthalmology Center, 42 Amir Temur Avenue, Tashkent, Uzbekistan. The supplier is responsible for all logistics, customs clearance, and import duties within the Republic of Uzbekistan. Delivery must be completed no later than 01 August 2025.
- Payment Terms: Payment shall be made in two installments: 40% (one hundred and ten thousand one hundred and fifty-three dollars, $110,153.00) upon signing of this Purchase Order, and 60% (one hundred and forty-three thousand six hundred and eighty-seven dollars, $143,687.00) within 30 days of confirmed delivery and successful installation at the Uzbekistan Tashkent facility. Payments shall be made via bank transfer to the supplier's account at the National Bank of Uzbekistan.
- Warranty: All capital equipment shall carry a minimum manufacturer's warranty of 24 months from the date of installation. The Ophthalmologist's clinic staff shall be provided with full warranty documentation in both English and Uzbek languages.
- Compliance: All medical devices and consumables must comply with the regulatory requirements of the Ministry of Health of the Republic of Uzbekistan and hold valid registration certificates for use in Uzbekistan Tashkent and the wider country. The supplier warrants that all items are new, unused, and free from defects.
- Training: The supplier shall provide a minimum of five (5) days of on-site training for the Ophthalmologist, surgical nurses, and diagnostic technicians at the Tashkent facility. Training materials shall be provided in Uzbek and English.
- Penalties: In the event of delayed delivery beyond the stipulated date, the supplier shall pay a penalty of 0.5% of the total Purchase Order value for each calendar day of delay, up to a maximum of 10% of the total value.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Republic of Uzbekistan and applicable commercial regulations in force in Tashkent, Uzbekistan. Any disputes shall be resolved through arbitration at the Tashkent International Arbitration Center.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding patient data, clinical protocols, and proprietary information related to the Ophthalmologist's practice in Uzbekistan Tashkent.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics affecting the Republic of Uzbekistan.
