All items specified in this Purchase Order shall be delivered to the premises of Saigon Vision Ophthalmology Center Co., Ltd., located at 128 Nguyen Hue Boulevard, District 1, Vietnam Ho Chi Minh City. The supplier is responsible for all logistics, customs clearance (if applicable for imported components), and on-site installation within Vietnam Ho Chi Minh City. Delivery is expected no later than 30 September 2025. Installation and calibration must be completed within 10 business days of delivery. The Ophthalmologist and designated clinical staff must be present during installation for verification and initial training.
Payment shall be made via bank transfer to the supplier's designated account in accordance with the following schedule:
- 30% advance payment (VND 1,603,440,000) upon signing and acceptance of this Purchase Order.
- 50% payment (VND 2,672,400,000) upon delivery and successful installation of all equipment in Vietnam Ho Chi Minh City.
- 20% final payment (VND 1,068,960,000) upon completion of training, calibration certification, and a 30-day defect-free operational period.
All payments are subject to the terms of the Commercial Law of Vietnam and applicable regulations of the Vietnam Ho Chi Minh City People's Committee regarding inter-business transactions.
The supplier warrants that all equipment and consumables listed in this Purchase Order are new, unused, and free from defects in materials and workmanship. A minimum warranty period of 24 months applies to all capital equipment, and 12 months to consumable-related components. All ophthalmic devices must hold valid registration with the Vietnam Ministry of Health and comply with ISO 13485 medical device quality standards. The Ophthalmologist at the purchasing facility retains the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to meet the regulatory requirements of Vietnam Ho Chi Minh City health authorities.
Important Note: This Purchase Order is governed by the laws of the Socialist Republic of Vietnam. Any disputes arising from this Purchase Order shall be resolved through arbitration in Vietnam Ho Chi Minh City in accordance with the rules of the Vietnam International Arbitration Centre (VIAC). Both parties acknowledge that the Ophthalmologist's clinical practice and patient safety are the paramount considerations in the execution of this Purchase Order, and all equipment must be operational and certified before clinical use commences.
This Purchase Order becomes effective upon written acceptance by both parties. No modification to this Purchase Order shall be valid unless made in writing and signed by authorized representatives of both the buyer and the supplier. This document constitutes the complete agreement between the parties regarding the procurement of ophthalmic equipment and services for the Ophthalmologist's practice in Vietnam Ho Chi Minh City.
