TERMS AND CONDITIONS

Payment Terms: 40% advance payment upon confirmation of this Purchase Order; 60% balance payment within 30 days of delivery and acceptance at the Algiers, Algeria warehouse. Payment shall be made via irrevocable letter of credit issued by a licensed Algerian bank in accordance with the regulations of the Bank of Algeria.
Delivery: All goods shall be delivered DDP (Delivered Duty Paid) to the Optique Vision Algérienne facility at 12, Boulevard Zighout Youcef, Hydra, 16000 Algiers, Algeria. The supplier bears all risk and cost of transport until the goods are unloaded at the designated delivery point in Algiers.
Warranty: All optometrist diagnostic equipment shall carry a minimum 24-month manufacturer's warranty from the date of delivery in Algiers. The Optometrist and clinic staff shall be provided with comprehensive training on the operation and maintenance of all delivered instruments.
Quality Standards: All products must comply with the Algerian Ministry of Health regulations for medical and optical devices, as well as CE marking requirements. The Optometrist at the practice reserves the right to reject any item that does not meet the specified clinical standards for use in patient care in Algiers.
Customs & Import: The supplier shall provide all necessary documentation for Algerian customs clearance, including commercial invoices, packing lists, certificates of origin, and CE conformity declarations. Import permits required by Algerian authorities shall be coordinated by the buyer in Algiers.
Penalties: In the event of delayed delivery beyond the agreed date of 30 July 2025, the supplier shall be liable for a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10%.
Governing Law: This Purchase Order shall be governed by the laws of the People's Democratic Republic of Algeria. Any disputes shall be resolved through the commercial courts of Algiers, Algeria.
