- Delivery: All items under this Purchase Order shall be delivered to the Optometrist's practice at Banani, Bangladesh Dhaka within twenty-one (21) calendar days from the date of this Purchase Order. The supplier shall bear all transportation costs within Bangladesh Dhaka metropolitan area.
- Quality Assurance: All optometry equipment must be new, factory-sealed, and accompanied by valid manufacturer warranties of no less than two (2) years. The Optometrist reserves the right to inspect and reject any item that does not meet the specifications stated in this Purchase Order.
- Payment: Payment of the full amount of BDT 1,789,250.00 shall be made via bank transfer to the supplier's designated account within thirty (30) days of confirmed delivery and acceptance of all goods. No advance payment is required under this Purchase Order.
- Warranty & Service: The supplier shall provide on-site technical support and calibration services for all diagnostic instruments in Bangladesh Dhaka for a period of three (3) years from the date of installation. Annual preventive maintenance visits shall be included at no additional cost.
- Compliance: All equipment must comply with the regulatory standards set by the Bangladesh Drug Administration and the Bangladesh Optometrists Association. The supplier shall provide all necessary import permits, conformity certificates, and registration documents as applicable.
- Penalty for Delay: In the event of delayed delivery beyond the stipulated period, the supplier shall be liable for a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 10% of the total value.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through arbitration in Bangladesh Dhaka.
