All items under this Purchase Order shall be delivered to the Beijing Vision Care Optometry Center premises located in Chaoyang District, China Beijing, no later than 30 July 2025. The supplier is responsible for all packaging, insurance, and transportation costs up to the designated delivery address. Equipment must be installed, calibrated, and verified by the supplier's certified technicians before the Optometrist team accepts delivery. A written installation and training report must be submitted to the buyer's procurement department within five (5) business days of completion. The Optometrist staff at our China Beijing facility will be present during installation to ensure all instruments are configured to meet the clinical protocols of our practice.
5. TERMS AND CONDITIONS5.1 This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All terms are governed by the laws of the People's Republic of China.
5.2 Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid commercial invoice and proof of successful delivery and installation in China Beijing.
5.3 All medical and optical equipment must carry valid NMPA registration certificates. The supplier warrants that all items are new, unused, and free from defects. A minimum two-year manufacturer warranty applies to all capital equipment purchased under this Purchase Order.
5.4 The supplier shall provide comprehensive operator training for our Optometrist team, including at least two (2) full-day sessions per major instrument, conducted at our China Beijing clinic. Training materials in both Mandarin Chinese and English must be supplied.
5.5 In the event of equipment malfunction within the warranty period, the supplier shall respond within forty-eight (48) hours and provide a replacement unit or repair service at no additional cost to the Optometrist practice.
5.6 The supplier shall not subcontract any portion of this Purchase Order without prior written consent from the Buyer. All data and patient-related configurations must remain within the jurisdiction of China Beijing and comply with China's Personal Information Protection Law (PIPL).
5.7 Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission in accordance with its rules.
6. AUTHORIZATION & SIGNATURESBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Optometrist equipment and services for use in China Beijing.
