1. This Purchase Order constitutes a binding agreement between Shanghai Vision Care Optometrist Clinic Co., Ltd. (hereinafter referred to as the "Buyer") and Shenzhen OptiTech Medical Equipment Co., Ltd. (hereinafter referred to as the "Supplier") for the procurement of Optometrist diagnostic equipment, consumables, and associated services.
2. All items listed in this Purchase Order must comply with the National Medical Products Administration (NMPA) of the People's Republic of China and must hold valid Class II or Class III medical device registration certificates as applicable to Optometrist practice in China Shanghai.
3. Delivery shall be made DDP to the Buyer's premises in China Shanghai. The Supplier bears all risks, transportation costs, customs duties, and insurance until the goods are physically received and inspected at the Optometrist clinic facility in Huangpu District, China Shanghai.
4. The Supplier shall provide a minimum 24-month warranty on all capital equipment. The Optometrist clinic reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails NMPA compliance verification upon arrival.
5. Payment shall be processed via bank transfer within thirty (30) calendar days of the Supplier's valid invoice, provided that all goods have been delivered, installed, and accepted by the Lead Optometrist, Dr. Wei Zhang, at the China Shanghai facility.
6. The Supplier shall provide on-site installation, operator training for the Optometrist clinical staff, and a comprehensive user manual in both Mandarin Chinese and English for all equipment covered under this Purchase Order.
7. Any modification, cancellation, or amendment to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding Optometrist equipment specifications or delivery schedules in China Shanghai shall not be binding.
8. Disputes arising from this Purchase Order shall be resolved through arbitration under the Shanghai International Economic and Trade Arbitration Commission (SHIAC) in China Shanghai, in accordance with its rules of procedure.
9. The Supplier warrants that all Optometrist equipment supplied is new, unused, and free from defects in materials and workmanship. Any refurbished or previously used items will result in immediate rejection and a 15% penalty on the affected line item value.
10. This Purchase Order is governed by the Civil Code of the People's Republic of China and applicable regulations of the Shanghai Municipal Health Commission regarding Optometrist practice standards.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Optometrist equipment and services for use at the China Shanghai clinic facility.
