- Payment Terms: The total amount of this Purchase Order shall be paid within thirty (30) calendar days from the date of invoice issuance. Payment shall be made via bank transfer to the supplier's account in Colombia. The buyer, Clínica Óptica Medellín S.A.S., shall issue a formal payment order through its accounting department located in Colombia Medellín.
- Delivery: All goods must be delivered to the optometrist practice facility at Cra. 43 # 49A-120, El Poblado, Colombia Medellín, no later than July 1, 2025. The supplier is responsible for all transportation, handling, and installation of equipment within the Colombia Medellín metropolitan area. Delivery times must account for the altitude and climate conditions specific to Colombia Medellín (approximately 1,500 meters above sea level).
- Warranty: All optometry equipment and instruments listed in this Purchase Order carry a minimum manufacturer warranty of twenty-four (24) months from the date of installation. The optometrist team at Clínica Óptica Medellín will conduct a full operational verification upon receipt. Any defective items must be replaced within fifteen (15) business days at no additional cost to the buyer.
- Quality Standards: All corrective lenses, contact lenses, and diagnostic instruments must comply with the Colombian regulatory standards established by INVIMA (Instituto Nacional de Vigilancia de Medicamentos y Alimentos) and the technical specifications required for optometrist practice in Colombia. The supplier guarantees that all products are new, unused, and free from manufacturing defects.
- Installation & Training: The supplier shall provide on-site installation of all major equipment (autorefractor, phoropters, slit lamp, fundus camera) and shall conduct a minimum of four (4) hours of hands-on training for the optometrist staff at the Colombia Medellín facility. Training materials in Spanish and English shall be provided.
- Acceptance: The buyer reserves the right to inspect all items upon delivery. Acceptance of this Purchase Order does not constitute final acceptance of goods. Final acceptance occurs only after the optometrist team has verified that all equipment functions correctly and all lenses meet the prescribed optical parameters.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Colombia Medellín region.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the commercial laws of the Republic of Colombia. Any disputes arising from this agreement shall be resolved in the competent commercial courts of Colombia Medellín, Antioquia.
- Confidentiality: Both parties agree to maintain confidentiality regarding the terms of this Purchase Order, pricing structures, and any proprietary information exchanged in connection with this optometrist supply arrangement.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements regarding changes to quantities, pricing, or delivery schedules in Colombia Medellín shall not be binding.
