Terms, Conditions & Notes for This Purchase Order
1. This Purchase Order is issued by the Alexandria Vision & Optometry Center, a licensed optometrist practice operating under the Alexandria Governorate Health Authority. All equipment listed herein is intended exclusively for use by the optometrist and supporting clinical staff at the Alexandria facility.
2. The supplier, Meditrade Egypt S.A.E., confirms that all items are new, factory-sealed, and carry a minimum two-year manufacturer warranty valid within the Republic of Egypt. Calibration certificates must accompany each diagnostic instrument upon delivery to the Alexandria premises.
3. Delivery shall be made to the optometrist's clinic at 142 Corniche El-Nil Street, El-Montaza, Alexandria, Egypt. The supplier is responsible for all transportation, insurance, and customs clearance (if applicable for imported components) within Alexandria city limits.
4. Payment shall be processed via bank transfer to the supplier's registered account with the National Bank of Egypt, Alexandria Branch. The 50% advance payment is due within five (5) business days of Purchase Order acceptance. The remaining 50% is due within ten (10) business days following successful on-site installation, calibration verification by the optometrist, and issuance of a delivery acceptance certificate.
5. In the event of non-conforming or defective equipment, the supplier shall replace the item within fourteen (14) calendar days at no additional cost. Repeated failures (two or more) entitle the optometrist practice to full refund of the affected line items.
6. This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from this order shall be subject to the exclusive jurisdiction of the Alexandria Commercial Courts. The supplier acknowledges that the optometrist practice operates under the regulatory oversight of the Egyptian Ministry of Health and Population and the Alexandria Governorate Medical Council.
7. The supplier shall provide on-site training for the optometrist and two (2) assistant technicians at the Alexandria clinic, covering operation, maintenance, and basic troubleshooting of all installed equipment. Training sessions shall be conducted in Arabic and English.
8. This Purchase Order becomes binding upon written or electronic acceptance by both parties. No modifications shall be valid unless documented in a written amendment signed by authorized representatives of both the optometrist practice and the supplier.
