Terms and Conditions
- Scope of Purchase Order: This Purchase Order covers the procurement of diagnostic equipment, consumables, furniture, and software exclusively for the Optometrist practice located in France Lyon. No items may be substituted without prior written approval from the Lead Optometrist.
- Delivery: The supplier shall deliver all goods to the specified address in France Lyon no later than 05 July 2025. Delivery must be scheduled between 08:00 and 16:00 CET to accommodate the Optometrist's patient consultation schedule. The supplier bears all transportation risk until goods are received and signed for at the Lyon facility.
- Quality Assurance: All Optometrist instruments must be factory-calibrated and accompanied by a certificate of conformity. The Optometrist practice reserves the right to reject any item that does not meet the specifications outlined in this Purchase Order or that fails to meet French health and safety standards.
- Warranty: All capital equipment carries a minimum two-year manufacturer warranty. Consumables are non-returnable once opened. Software licenses include one year of technical support and updates.
- Payment: Payment of the full amount of 86,232.00 EUR shall be made via SEPA bank transfer within 30 calendar days of the supplier's invoice date. The supplier must include the Purchase Order number (FR-LYO-2025-00472) on all corresponding invoices.
- Installation and Training: The supplier is responsible for on-site installation of all major equipment at the France Lyon premises. A minimum of four hours of hands-on training for the Optometrist team (three staff members) must be provided by a certified technician at no additional cost.
- Compliance: All products must comply with applicable French and European regulations, including the EU Medical Devices Regulation (MDR 2017/745) where applicable. The Optometrist practice in France Lyon operates under the supervision of the Agence Régionale de Santé (ARS) Auvergne-Rhône-Alpes.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, strikes, or government-mandated closures affecting the France Lyon metropolitan area.
- Governing Law: This Purchase Order shall be governed by and interpreted in accordance with the laws of the French Republic. Any disputes shall be submitted to the competent commercial court of Lyon, France.
- Confidentiality: Both parties agree to maintain the confidentiality of all business information exchanged in connection with this Purchase Order, including patient data handled by the Optometrist practice, in accordance with the GDPR and French data protection laws.
