1. Delivery: All items listed in this Purchase Order shall be delivered to the Optometrist practice premises at 42, 100 Feet Road, Indiranagar, India Bangalore, Karnataka 560038 within 21 calendar days from the date of this Purchase Order. The supplier shall bear all transportation costs within the India Bangalore metropolitan area.
2. Payment Terms: Payment shall be made within 30 days of receipt of a valid tax invoice and successful inspection of goods. Payment shall be processed via NEFT/RTGS to the supplier's designated bank account in India Bangalore. A 5% advance shall be paid upon confirmation of this Purchase Order.
3. 5. A minimum of 4-hour training session for the Optometrist staff and optical technicians shall be conducted by the supplier's certified engineers.
6. Regulatory Compliance: All medical and optical devices supplied under this Purchase Order must carry valid CDSCO registration and comply with the Drugs and Cosmetics Act, 1940, and the Indian Medical Devices Rules, 2017. The supplier shall provide all relevant certificates along with the delivery.
7. Penalty for Delay: In the event of delayed delivery beyond the stipulated 21-day period, the supplier shall pay a penalty of 0.5% of the total Purchase Order value per day of delay, up to a maximum of 5% of the total value.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall take place in India Bangalore, Karnataka, and the language of arbitration shall be English.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government restrictions, or public health emergencies affecting the India Bangalore region.

3. The supplier is requested to include a detailed user manual in English for each instrument, along with a quick-reference guide for the Optometrist team.

4. This Purchase Order is valid for a single delivery. Any additional requirements shall be communicated through a separate Purchase Order amendment.

5. The supplier shall maintain a dedicated account manager for this Optometrist practice in India Bangalore for ongoing support and future procurement needs.
