Terms and Conditions

1. This Purchase Order constitutes a binding agreement between Al-Rafidain Vision Care Center (Buyer) and OptiMed International Trading LLC (Supplier) for the procurement of optometry equipment and professional services to be delivered to the Buyer's facility in Iraq Baghdad.
2. All items listed in this Purchase Order must be new, unused, and in their original manufacturer packaging. The Supplier warrants that all equipment is free from defects in materials and workmanship for a minimum period of three (3) years from the date of delivery in Baghdad.
3. The Supplier shall be responsible for all customs clearance, import duties, and regulatory approvals required by the Republic of Iraq for the entry of medical and optometric equipment into Iraq Baghdad. The Buyer shall provide any necessary import permits or letters of authorization from the Iraqi Ministry of Health.
4. Delivery shall be made to the Buyer's premises at Street 14, Al-Mansour District, Baghdad, Iraq. The Supplier's installation team must coordinate with the Buyer's Optometrist staff to ensure proper setup, calibration, and operational training for all delivered equipment.
5. Payment shall be made via irrevocable letter of credit issued by a recognized bank in Baghdad, Iraq, in accordance with the payment terms stated above. The advance payment of 50% shall be released within ten (10) business days of the Supplier's written confirmation of order acceptance.
6. The remaining 50% balance shall be paid within fifteen (15) business days following successful delivery, installation, calibration, and written acceptance by the Buyer's Head Optometrist, Dr. Layla Hassan, at the Baghdad facility.
7. In the event of non-conforming goods or equipment failure during the warranty period, the Supplier shall, at its own cost, repair or replace the defective item within thirty (30) days of written notice from the Buyer. Replacement parts must be shipped to Iraq Baghdad via air freight.
8. This Purchase Order is governed by the commercial laws of the Republic of Iraq. Any disputes arising from this agreement shall be resolved through arbitration in Baghdad, Iraq, in accordance with the rules of the Iraqi Arbitration Center. The language of the arbitration shall be English.
9. The Supplier acknowledges that the equipment procured under this Purchase Order is intended for use by licensed Optometrist professionals practicing in the city of Baghdad, Iraq, and must meet all applicable Iraqi medical device regulations.
10. Neither party shall be liable for delays caused by force majeure events, including but not limited to political instability, natural disasters, or government-imposed restrictions affecting the movement of goods into or within Iraq Baghdad.
11. This Purchase Order is valid for acceptance until 15 August 2025. Failure to confirm acceptance by this date shall render this document null and void.
