- This Purchase Order is issued by Vis Studio Ottico S.r.l., an Optometrist practice registered in Italy Milan, and constitutes a binding procurement request for the optical equipment, lenses, frames, and consumables listed above.
- The supplier, OptiTech Solutions Europe S.p.A., shall deliver all items to the Optometrist's clinic located at Via Montenapoleone 42, 20121 Milan, Italy, within the delivery windows specified per line item. Late delivery beyond 5 business days entitles the buyer to a 2% penalty per week on the affected line item value.
- All equipment must comply with the European Medical Device Regulation (EU) 2017/745 and Italian Ministry of Health directives applicable to optometric and ophthalmic instruments used by a licensed Optometrist in Italy Milan.

- Warranty: All capital equipment (items 1–4) carries a minimum 24-month manufacturer warranty from the date of installation. Consumables (items 5–10) carry a 90-day replacement warranty against manufacturing defects.
- Installation and operator training for the Autorefractor, Phoropter, Slit Lamp, and Coating Machine shall be provided by the supplier's certified technicians at the Optometrist's premises in Italy Milan at no extra charge. Training sessions must be scheduled within 10 business days of equipment delivery.
- This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the Courts of Milan, Italy.
- The Optometrist practice in Italy Milan shall maintain all equipment in accordance with the manufacturer's maintenance schedules. Preventive maintenance contracts may be negotiated separately and are not included in this Purchase Order.
- Confidentiality: Both parties agree to treat all commercial terms, patient-related data, and proprietary information exchanged in connection with this Purchase Order as strictly confidential in accordance with GDPR (EU) 2016/679 and Italian privacy law (D.Lgs. 196/2003).
The Optometrist, Dott.ssa Elena Ferraro, requests that all capital equipment deliveries be coordinated with the clinic's maintenance window (Saturdays, 08:00–14:00) to minimize disruption to patient appointments in the Italy Milan location. The supplier must confirm the delivery date at least 5 business days in advance via email to [email protected]. All packaging materials must be recyclable and compliant with Italian waste management regulations (D.Lgs. 152/2006).
