- 3.1 – This Purchase Order constitutes a binding agreement between OpticalVision S.r.l. (Seller) and Studio Ottico Dr. Maria Esposito (Buyer) for the supply of optometry equipment and optical supplies as itemised above.
- 3.2 – All goods shall be delivered to the Optometrist practice premises in Italy Naples at the address specified in Section 1. Delivery shall be completed no later than 05 July 2025.
- 3.3 – Payment shall be made via bank transfer (bonifico bancario) to the Seller's designated IBAN within thirty (30) calendar days of the invoice date. Late payments shall accrue interest at the rate of 1.5% per month as per Italian commercial law (Codice Civile, Art. 1284).
- 3.4 – All equipment is warranted for a minimum of twenty-four (24) months from the date of delivery. The Optometrist practice shall notify the Seller in writing of any defects within the warranty period for prompt repair or replacement.
- 3.5 – The Seller guarantees that all optical instruments comply with current European Union medical device regulations (MDR 2017/745) and Italian national standards (UNI EN) applicable to optometry practice in Italy Naples and the broader Campania region.
- 3.6 – Title and risk of loss shall pass to the Buyer upon confirmed delivery and signature of the delivery note (bolla di consegna) at the Optometrist's premises in Naples.
- 3.7 – In the event of a dispute, the parties agree to submit to the jurisdiction of the Tribunale di Napoli (Naples Court), Italy Naples, in accordance with Italian civil procedure.
- 3.8 – This Purchase Order may be amended only by mutual written consent of both parties. Any verbal modifications shall be null and void.
The Seller shall coordinate with the Optometrist practice manager, Dr. Maria Esposito, to schedule the delivery and on-site installation of all major equipment (items 01–04 and 10) within the agreed delivery window. Installation technicians will be dispatched to the Italy Naples location and will ensure all instruments are calibrated, tested, and operational before departure. The Optometrist and any designated staff members shall receive a brief operational training session for each major device at the time of installation.
