1. PURPOSE AND SCOPE OF THIS PURCHASE ORDERThis Purchase Order is issued by Studio Ottico Visione Roma S.r.l., a licensed Optometrist practice operating in the historic centre of Rome, Italy, for the procurement of optical diagnostic equipment, corrective lenses, patient examination accessories, and related consumables. This Purchase Order governs the terms, conditions, pricing, and delivery obligations between the purchasing Optometrist practice and the supplier OpticaTech Italia S.p.A. - Payment Terms: Payment shall be made via bank transfer (bonifico bancario) to the supplier's designated Italian bank account within 30 days from the date of invoice issuance. The Optometrist practice in Rome shall include the Purchase Order number PO-2025-04871 in the payment reference. IBAN: IT60 X054 2811 1010 0000 0123 456.
- Delivery: All items shall be delivered to the Optometrist practice premises at Via del Corso, 142, 00186 Rome, Italy, during the specified delivery window. The supplier is responsible for all transportation, insurance, and customs clearance (if applicable) within the territory of Italy. Delivery is DDP (Delivered Duty Paid) Rome, Italy.
- Warranty: All medical and optical equipment shall carry a minimum manufacturer warranty of 24 months from the date of delivery. The Optometrist practice in Rome shall be entitled to on-site repair or replacement within 10 business days of reporting a defect.
- Regulatory Compliance: All products must bear the CE marking and comply with Italian national regulations (D.Lgs. 46/97 and subsequent amendments) as well as EU directives applicable to medical devices and optical products sold in Italy. The supplier warrants that all items are legally distributable within the Italian market.
- Acceptance and Inspection: The Optometrist practice shall inspect all delivered goods within 5 business days of arrival at the Rome facility. Any discrepancies in quantity, condition, or specification must be reported in writing to the supplier within this period. Failure to report shall constitute acceptance of the goods.
- Intellectual Property and Branding: The supplier grants the Optometrist practice in Rome the right to display and sell the branded optical frames and lenses listed in this Purchase Order for the duration of the commercial relationship.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or supply chain disruptions affecting the Rome, Italy region.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes shall be submitted to the exclusive jurisdiction of the Tribunale di Roma (Court of Rome), Italy.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, patient data, and proprietary information exchanged in connection with this Purchase Order, in compliance with the Italian Data Protection Code (D.Lgs. 196/2003) and the EU General Data Protection Regulation (GDPR).
