NOTE: This Purchase Order is issued by the lead Optometrist, Dr. Aya Koné, O.D., on behalf of Clinique Optométrique de Cocody, a licensed optometric practice operating in Abidjan, Ivory Coast. All equipment and supplies listed herein are intended for the direct use of the optometrist in providing comprehensive eye care, refraction, lens dispensing, and visual rehabilitation services to patients in the Abidjan metropolitan area and surrounding regions of Côte d'Ivoire. TERMS AND CONDITIONS

Delivery: All items referenced in this Purchase Order shall be delivered to the optometrist's practice premises located at Boulevard Latrille, Cocody, Abidjan, Ivory Coast, no later than 30 days from the date of this Purchase Order. The supplier is responsible for all logistics, customs clearance at Abidjan Port, and final delivery within the city of Abidjan.
Payment: Payment of the full grand total of 76,024,000 XOF shall be made within thirty (30) calendar days of the date of this Purchase Order via bank transfer to the supplier's designated account. Late payments shall incur a penalty of 1.5% per month as stipulated under Ivorian commercial law.
Warranty: All diagnostic and dispensing equipment purchased under this Purchase Order carries a minimum two-year manufacturer's warranty. The optometrist's practice shall be entitled to on-site repair or replacement within Abidjan at no additional cost during the warranty period.
Compliance: All products must comply with the regulatory standards set by the Ivorian Ministry of Health and the West African Economic and Monetary Union (WAEMU) medical device regulations. The supplier warrants that all items are new, unused, and conform to the specifications agreed upon by the optometrist.
Installation & Training: The supplier shall provide full installation of all capital equipment at the optometrist's clinic in Abidjan and shall conduct a minimum of two (2) days of hands-on training for the optometrist and two (2) assistant technicians.
Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through the commercial courts of Abidjan, Ivory Coast, in accordance with the applicable laws of the Republic of Côte d'Ivoire.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to port strikes at Abidjan, national emergencies in Ivory Coast, or international shipping disruptions.
