1. Delivery: All items shall be delivered to the optometrist clinic premises at 4-2-18 Shinjuku, Shinjuku-ku, Tokyo 160-0022, Japan Tokyo, no later than 05 July 2025. Delivery shall be made between 09:00 and 17:00 JST on business days. The supplier is responsible for all packaging, insurance, and freight charges up to the delivery point in Japan Tokyo.

2. Quality Assurance: All optometrist-grade equipment must comply with Japanese Medical Device Act (Kikaku-hō) regulations and bear the appropriate PMDA certification. Lenses and frames must meet JIS (Japanese Industrial Standards) for optical accuracy. 3. Payment: Payment of the full Purchase Order amount of JPY 26,207,500 shall be made via bank transfer within thirty (30) calendar days of the date of invoice issuance, provided that all goods have been received and inspected by the optometrist clinic's procurement team. 4. Warranties: All diagnostic instruments carry a minimum two-year manufacturer warranty. Optical lenses carry a one-year warranty against manufacturing defects. The supplier shall provide full replacement or repair service for any defective optometrist equipment within the warranty period at no additional cost to the buyer.

5. Cancellation and Modification: This Purchase Order may be modified or cancelled in writing by either party up to fourteen (14) days prior to the required delivery date. Cancellation after this period may incur a penalty of 15% of the total Purchase Order value, as agreed upon by both parties.

6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order related to the optometrist practice operations in Japan Tokyo shall be subject to the exclusive jurisdiction of the Tokyo District Court.
