- Acceptance: This Purchase Order constitutes a binding offer by Almaty Vision Care Optometrist Practice LLP. The supplier's acceptance is confirmed by written acknowledgment within five (5) business days of the date of issue. Failure to respond within this period shall be interpreted as rejection of this Purchase Order.
- Delivery: All items specified in this Purchase Order shall be delivered to the Optometrist practice premises located at 145, Abai Avenue, Almaty, Kazakhstan, no later than 30 June 2025. Delivery shall be made during business hours (09:00–18:00, Monday through Friday, Kazakhstan time, UTC+5). The supplier is responsible for all transportation, insurance, and customs clearance costs up to the delivery point in Kazakhstan Almaty.
- Inspection and Acceptance: Upon delivery, the Optometrist practice shall inspect all goods within three (3) business days. Any discrepancies in quantity, quality, or specification must be reported in writing to the supplier within this period. Equipment that fails to meet the specifications outlined in this Purchase Order shall be returned at the supplier's expense.
- Payment: Payment of the full amount of 38,214,400.00 KZT (thirty-eight million two hundred fourteen thousand four hundred Kazakhstani Tenge) shall be made via bank transfer within thirty (30) calendar days from the date of confirmed acceptance of all goods. Payment shall be directed to the bank account specified in the Supplier Information section of this Purchase Order.
- Warranty: All diagnostic and optical equipment shall carry a minimum manufacturer's warranty of two (2) years from the date of delivery. The Optometrist practice in Kazakhstan Almaty expects the supplier to coordinate all warranty claims and provide on-site repair or replacement services within ten (10) business days of a valid warranty claim.
- Intellectual Property and Compliance: The supplier warrants that all goods supplied under this Purchase Order are original, non-counterfeit products and do not infringe upon any intellectual property rights. The supplier shall comply with all applicable laws of the Republic of Kazakhstan, including but not limited to the Law on Consumer Rights Protection and the Law on Medical Activity.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics, provided that the affected party notifies the other in writing within forty-eight (48) hours of the event.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through the courts of Almaty City, Kazakhstan.
- Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, pricing, and patient-related information exchanged in connection with this Purchase Order. The Optometrist practice in Kazakhstan Almaty shall not disclose supplier pricing to third parties without written consent.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by authorized representatives of both parties. Verbal agreements or email communications shall not constitute valid amendments to this document.
