This Purchase Order is issued by ClearSight Optometry Centre Ltd., a registered optometrist practice operating in Kenya Nairobi, to procure essential diagnostic equipment, optical instruments, patient care supplies, and consumable materials required for the continued and expanded operation of our optometrist services. This Purchase Order covers the procurement cycle for the second quarter of 2025 and is governed by the commercial laws of the Republic of Kenya, including the Consumer Protection Act, 2012, and applicable regulations set forth by the Kenya Pharmacy and Poisons Board (KPPB) and the National Optical Practitioners Association of Kenya (NOPAK).

4.1 This Purchase Order is subject to the standard trade terms of OptiTech Kenya Supplies Ltd. and the commercial regulations applicable in Kenya Nairobi. All goods must comply with the Kenya Bureau of Standards (KEBS) certification requirements for medical and optical devices.

4.2 The supplier shall deliver all items listed in this Purchase Order to the optometrist practice premises at Westlands, Kenya Nairobi, no later than the Required Delivery Date stated above. Late delivery shall attract a penalty of 1.5% of the total Purchase Order value per calendar day of delay, capped at 10%.

4.3 All diagnostic and optometrist equipment shall carry a minimum of a two-year manufacturer's warranty, with on-site service coverage within the Kenya Nairobi metropolitan area. Consumable items (lenses, solutions, frames) shall be free from manufacturing defects at the time of delivery.

4.4 Payment shall be processed via bank transfer to the supplier's designated account. The 60% advance payment shall be released within five (5) business days of acceptance of this Purchase Order. The remaining 40% balance shall be paid within ten (10) business days following successful delivery, installation, and inspection by the optometrist practice's technical team.

4.5 The supplier is required to provide a detailed invoice, KEBS conformity certificates, and warranty documentation for each line item upon delivery. Failure to provide complete documentation shall entitle the buyer to withhold the balance payment until compliance is achieved.

4.6 Any disputes arising from this Purchase Order shall be resolved through negotiation, and failing that, through arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 of Kenya.

4.7 This Purchase Order does not constitute a long-term supply agreement. Any future procurement by the optometrist practice in Kenya Nairobi shall be subject to a separate Purchase Order and mutual written consent.

All equipment shall be delivered to the ground-floor reception of ClearSight Optometry Centre, Plot 14, Kenyatta Avenue, Westlands, Kenya Nairobi. The supplier's installation team shall coordinate with the optometrist practice's operations manager (Mr. Daniel Mwangi, Tel: +254 711 234 567) at least 48 hours prior to the scheduled delivery date. Installation of the Auto Refractor, Slit Lamp, Phoropter, and Tonometer shall be completed and calibrated within two (2) working days of physical delivery. The optometrist in charge (Dr. Amina Hassan, MBOpt, FCOptom) shall sign the delivery and installation acceptance form upon satisfactory completion.
