The supplier is responsible for arranging freight from the point of origin to the Port of Casablanca, including all customs clearance documentation required by the Moroccan Directorate General of Customs and Indirect Taxes (Direction Générale des Douanes et Impôts Indirects). Delivery must be completed no later than 28 June 2025. The supplier shall provide a minimum of five (5) business days' written notice prior to shipment, including the Bill of Lading, Commercial Invoice, Packing List, and Certificate of Origin. • 4.2 Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of the date of the commercial invoice, subject to satisfactory inspection and acceptance of all goods at the Casablanca facility.
• 4.3 The Seller warrants that all items are new, unused, and free from defects in materials and workmanship. A minimum warranty period of twenty-four (24) months applies to all diagnostic and examination equipment.
• 4.4 The Buyer reserves the right to inspect all goods upon arrival at the Casablanca warehouse. Any discrepancies in quantity, quality, or specification must be reported in writing within seven (7) business days of delivery.
• 4.5 In the event of non-delivery or defective goods, the Seller shall replace or refund the affected items within fifteen (15) business days at no additional cost to the Buyer.
• 4.6 This Purchase Order is governed by the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be resolved through the competent commercial courts of Casablanca, Morocco.
• 4.7 The Seller shall ensure that all optical products meet the CE marking requirements and any applicable Moroccan regulatory standards for products intended for use by an Optometrist in clinical practice.
• 4.8 Title and risk of loss pass to the Buyer upon delivery and acceptance at the Casablanca premises, in accordance with CIF Incoterms 2020.
