All items listed in this Purchase Order shall be delivered to the Yangon Vision Care Centre premises located at No. 42, 27th Street, Kyauktada Township, Yangon, Myanmar. The supplier is responsible for safe transport, customs clearance (if applicable for imported components), and professional installation of all diagnostic equipment within the Optometrist examination rooms. Installation must be completed and verified by a certified Optometrist technician prior to final acceptance. Delivery windows are specified per line item above and must be adhered to within the Myanmar Yangon metropolitan logistics corridor.
- 1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the supplier. The Optometrist practice reserves the right to inspect all goods upon delivery and reject items that do not meet the specified standards or are damaged in transit.
- 2. Payment: Payment shall be made within thirty (30) calendar days of the date of invoice, via bank transfer to the supplier's designated account at CB Bank, Yangon Branch. All amounts are quoted in Myanmar Kyat (MMK) and are subject to the prevailing exchange rate set by the Central Bank of Myanmar at the time of transaction.
- 3. Warranty: All diagnostic and optical equipment shall carry a minimum two-year manufacturer's warranty. The Optometrist practice expects the supplier to coordinate all warranty claims and provide replacement or repair services within Myanmar Yangon within fourteen (14) business days of a reported defect.
- 4. Compliance: All equipment must comply with the Myanmar Ministry of Health and Sports regulations governing Optometrist practice and the use of medical diagnostic devices. The supplier warrants that all items are legally importable and usable within the Republic of the Union of Myanmar.
- 5. Late Delivery: A penalty of 1.5% of the total Purchase Order value per week of delay shall apply to any line item not delivered by the stated date. Delays exceeding four (4) weeks entitle the buyer to cancel the affected line items without penalty.
- 6. Intellectual Property & Training: The supplier shall provide a minimum of eight (8) hours of on-site training for the Optometrist staff and optical technicians at the Yangon facility, covering operation, maintenance, and calibration of all delivered equipment.
- 7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes shall be resolved through arbitration in Yangon, Myanmar, in accordance with the Myanmar Arbitration Law.
- 8. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-imposed restrictions, or other events beyond reasonable control, provided written notice is given within five (5) business days of the event.
