This Purchase Order is issued by ClearSight Optometrist & Vision Centre, a licensed optometry practice operating in Nigeria Abuja, to procure essential diagnostic equipment, optical instruments, and patient care supplies required for the continued operation of our Optometrist clinic. All items listed below are to be delivered to our facility at Wuse II, Abuja, FCT, Nigeria, in accordance with the terms and conditions specified herein.

TERMS AND CONDITIONS OF THIS PURCHASE ORDER

Acceptance: This Purchase Order shall be deemed accepted upon written confirmation by OptiSupply Nigeria Ltd. within five (5) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
Delivery: All items specified in this Purchase Order must be delivered to the ClearSight Optometrist & Vision Centre premises at 14, Aminu Kano Crescent, Wuse II, Abuja, FCT, Nigeria, no later than 28 June 2025. Delivery shall be made between 08:00 and 16:00 hours, Monday to Friday.
Payment Terms: Payment shall be made within thirty (30) days of the date of delivery and acceptance of goods. Payment shall be effected via bank transfer to the supplier's designated account in Nigeria. The total amount due is Thirty-One Million Nine Hundred and Four Thousand Four Hundred and Seventy-Five Naira (NGN 31,904,475.00).
Warranty: All diagnostic equipment and optical instruments supplied under this Purchase Order shall carry a minimum of two (2) years manufacturer's warranty. The Optometrist practice reserves the right to reject any item found to be defective upon delivery or within the warranty period.
Quality Standards: All optical lenses, frames, and contact lens solutions must comply with the standards set by the Nigerian Medical and Dental Council (NMDc) and the Federal Ministry of Health, Abuja. The supplier shall provide certificates of authenticity and conformity for all items.
Installation and Training: The supplier shall be responsible for the installation and calibration of all diagnostic equipment (Auto Refractor, Phoropters, Slit Lamp, and Tonometer) at the Optometrist clinic in Abuja. Additionally, the supplier shall provide a minimum of four (4) hours of hands-on training for our Optometrist staff on the operation and maintenance of the new equipment.
Penalties for Late Delivery: In the event of delayed delivery beyond the stipulated date, the supplier shall incur a penalty of 1.5% of the total Purchase Order value per day of delay, up to a maximum of 10% of the total value.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, FCT, Nigeria.
Validity: This Purchase Order is valid for a period of fourteen (14) calendar days from the date of issue. Prices are fixed and shall not be subject to revision during the validity period.

Note to Supplier: Please ensure that all packaging is suitable for transport within Nigeria Abuja and the Federal Capital Territory. Fragile optical instruments must be individually boxed with adequate cushioning. A detailed packing list and invoice must accompany each delivery. The Optometrist in charge, Dr. Amina Bello (Lic. No: NMDc/2019/04521), will be present to inspect and sign off on all deliveries. Prepared By:
