1. Scope of Purchase Order: This Purchase Order is issued by Al-Nur Vision Care Center, a licensed Optometrist practice operating in Riyadh, Saudi Arabia, for the procurement of optical diagnostic equipment, lenses, frames, and related consumables. All items listed herein are intended for use by the Optometrist team in delivering comprehensive eye care services to patients in the Riyadh metropolitan area.
2. Delivery: The vendor shall deliver all goods to the buyer's facility located at King Fahd Road, Al Olaya District, Riyadh, Saudi Arabia within thirty (30) calendar days from the date of this Purchase Order. Delivery shall be made DDP (Delivered Duty Paid) to the specified address in Riyadh. All customs clearance procedures in Saudi Arabia shall be handled by the vendor at no additional cost to the buyer.
3. Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice and confirmed delivery. Payment shall be processed via bank transfer to the IBAN specified above. All amounts are denominated in Saudi Riyal (SAR) and are subject to the 15% Value Added Tax (VAT) as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
4. Quality & Compliance: All optical equipment and lenses supplied under this Purchase Order must comply with the standards set by the Saudi Food and Drug Authority (SFDA) and the Ministry of Health, Kingdom of Saudi Arabia. The Optometrist practice requires that all diagnostic instruments carry valid CE marking and ISO 13485 certification. Lenses and frames must meet the applicable Saudi Standards, Metrology and Quality Organization (SASO) requirements.
5. Warranty: The vendor shall provide a minimum two-year warranty on all diagnostic and optical equipment. Contact lens solutions and consumables shall carry a minimum six-month shelf life from the date of delivery in Riyadh. Any defective items shall be replaced at the vendor's expense within fourteen (14) days of notification.
6. Installation & Training: The vendor is responsible for the installation, calibration, and initial training of the Optometrist staff on all diagnostic equipment delivered under this Purchase Order. Training sessions shall be conducted on-site in Riyadh, Saudi Arabia, and shall not exceed five (5) business days.
7. Cancellation & Modification: This Purchase Order may be modified or cancelled in writing by either party with a minimum of fourteen (14) days' prior notice. In the event of cancellation after production has commenced, the buyer shall be liable for 25% of the total Purchase Order value as a cancellation fee.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Riyadh, Saudi Arabia, or through arbitration under the rules of the Saudi Center for Commercial Arbitration (SCCA).
9. Confidentiality: Both parties agree to maintain the confidentiality of all commercial terms, patient data, and proprietary information exchanged in connection with this Purchase Order. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
