Terms and Conditions of this Purchase Order

1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the supplier. The supplier shall confirm acceptance within five (5) business days of receipt of this Purchase Order.
2. Delivery: All items shall be delivered to the Optometrist practice premises at 12 Marina Boulevard, Level 8, #08-120, Singapore Singapore 018982. Delivery must be completed no later than 30 June 2025. Late delivery shall incur a penalty of 1% of the total Purchase Order value per calendar day of delay, capped at 10%.
3. Quality & Compliance: All optometry equipment and supplies must meet the regulatory standards set by the Health Sciences Authority (HSA) of Singapore Singapore. The supplier warrants that all items are new, unused, and free from defects. The Optometrist practice reserves the right to reject any item that does not conform to the specifications stated in this Purchase Order.
4. Warranty: The supplier shall provide a minimum two (2) year comprehensive warranty on all capital equipment (Items 01–06, 10, 11) and a twelve (12) month warranty on consumable items. The annual calibration and maintenance service (Item 12) shall commence upon successful installation and acceptance.
5. Payment: Payment shall be made within thirty (30) days from the date of the supplier's invoice, via bank transfer to the account specified by OptiSupply Asia Pte. Ltd. The Purchase Order total of SGD 341,037.50 (inclusive of 9% GST as per Singapore Singapore tax law) is the agreed sum. No additional charges shall apply unless mutually agreed in writing.
6. Installation & Training: The supplier is responsible for the full installation, calibration, and commissioning of all equipment at the Singapore Singapore location. The supplier shall provide a minimum of eight (8) hours of on-site training for the Optometrist team, including Dr. Tan Wei Ming and two (2) assistant optometrists, covering operation, basic troubleshooting, and safety protocols.
7. Intellectual Property & Data: Any software or digital data associated with the OCT scanner and Visual Field Analyzer shall be licensed for use exclusively at the Singapore Singapore premises of the Optometrist practice. No data shall be transmitted to third-party servers without explicit written consent from the buyer.
8. Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Singapore Singapore in accordance with the rules of the Singapore Mediation Centre. If mediation fails, disputes shall be referred to arbitration under the Singapore International Arbitration Centre (SIAC) rules. The governing law of this Purchase Order shall be the laws of Singapore Singapore.
9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government regulations in Singapore Singapore, or pandemics, provided that the affected party notifies the other within seven (7) days.
10. Confidentiality: Both parties agree to maintain the confidentiality of all business information, pricing, and patient-related data exchanged in connection with this Purchase Order. This obligation shall survive the termination of this agreement for a period of three (3) years.
