Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Cape Town Vision Care Centre (Pty) Ltd, a registered entity in South Africa, for the procurement of optometrist professional services, clinical diagnostic equipment, and consumable supplies to be delivered and installed at our facility in Cape Town, Western Cape.
- All goods and services described in this Purchase Order must comply with the South African Health Products Regulatory Authority (SAHPRA) standards and the South African National Standards (SANS) applicable to optometrist clinical equipment and diagnostic instruments.
- The supplier, OptiMedica Supplies & Clinical Services (Pty) Ltd, warrants that all optometrist equipment supplied under this Purchase Order shall be new, unused, and free from defects for a minimum period of twenty-four (24) months from the date of installation in Cape Town.
- Delivery of all items listed in this Purchase Order shall be completed no later than 28 June 2025 at the specified delivery address in Cape Town, South Africa. Late delivery shall incur a penalty of 1.5% of the total Purchase Order value per calendar day of delay.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the supplier, in accordance with South African tax regulations. Payment shall be made via electronic funds transfer (EFT) to the supplier's designated bank account in South Africa.
- The optometrist clinical examination services (Item 001) shall be performed by registered optometrists holding valid South African Optometrists Council (SAOC) registration and shall adhere to the ethical and professional standards set by the South African Optometrists Council.
- All patient data collected during optometrist consultations shall be handled in strict compliance with the Protection of Personal Information Act (POPIA), 2013, of South Africa. The supplier shall execute a data processing agreement prior to commencing any patient-facing services.
- This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the jurisdiction of the High Court of South Africa, Cape Town Division.
- The supplier shall provide a comprehensive installation, calibration, and operator training session for all optometrist equipment at the Cape Town facility. Training shall be conducted in English and shall cover all operational and maintenance procedures.
- This Purchase Order shall remain valid until 31 July 2025. Any amendments or cancellations must be made in writing and signed by both parties. No verbal modifications to this Purchase Order shall be binding.
- The supplier acknowledges that this Purchase Order constitutes a binding contract upon signature by both parties and that all terms herein are incorporated into the agreement between Cape Town Vision Care Centre (Pty) Ltd and OptiMedica Supplies & Clinical Services (Pty) Ltd.
Note: This Purchase Order is specific to the procurement of optometrist services and clinical equipment for use in the Cape Town, South Africa region. All pricing is quoted in South African Rand (ZAR) and includes applicable South African Value Added Tax (VAT) at the current rate of 15%. The optometrist services referenced herein are to be delivered in accordance with the professional standards of the South African Optometrists Council.
