1. This Purchase Order is issued by ClearVision Optometry & Eye Care Centre, a registered Optometrist practice operating in Johannesburg, South Africa, and constitutes a binding offer to purchase the goods listed herein upon acceptance by the supplier.
2. All prices are quoted in South African Rand (ZAR) and are inclusive of applicable Value Added Tax (VAT) at the current rate of 15% as governed by the South African Revenue Service (SARS).
3. Delivery shall be made to the Optometrist practice premises at 142 Rivonia Road, Sandton, Johannesburg, South Africa, no later than 28 June 2025. The supplier bears all risk of loss or damage until goods are received and signed for at the delivery address.
4. Payment terms: Net 30 days from date of invoice, payable via Electronic Funds Transfer (EFT) to the supplier's designated bank account in South Africa. Late payments shall attract interest at the rate of 1.5% per month as per the National Credit Act of South Africa.
5. All optometric equipment supplied under this Purchase Order must comply with the South African Health Products Regulatory Authority (SAHPRA) standards and carry valid CE or SABS certification where applicable.
6. The supplier warrants that all goods are new, unused, and free from defects. A minimum 24-month manufacturer's warranty applies to all capital equipment. The Optometrist practice reserves the right to reject non-conforming goods within 14 days of delivery.
7. This Purchase Order is governed by the laws of the Republic of South Africa. Any disputes arising from this transaction shall be subject to the exclusive jurisdiction of the High Court of South Africa, Johannesburg Division.
8. No amendments to this Purchase Order shall be valid unless confirmed in writing and signed by authorised representatives of both parties.
