1. Delivery: All items under this Purchase Order shall be delivered to the Optometrist practice premises at Calle de Colón, 142, 3ºB, 46004 Valencia, Spain, within thirty (30) calendar days from the date of acceptance of this Purchase Order. Delivery shall be made during standard business hours (Monday to Friday, 09:00–17:00 CET) in Spain Valencia.
2. Payment Terms: Payment shall be made by bank transfer to the supplier's designated account within thirty (30) days of receipt of the commercial invoice. The Optometrist practice reserves the right to withhold payment for any items found to be defective or non-conforming upon delivery inspection.
3. Warranty: All diagnostic equipment and Optometrist instruments listed in this Purchase Order shall carry a minimum manufacturer's warranty of two (2) years from the date of installation. The supplier, MedOptic Ibérica, S.L., shall coordinate all warranty claims and provide on-site technical support in Valencia, Spain, within forty-eight (48) hours of a reported fault.
4. Installation and Training: The supplier shall provide full installation, calibration, and operator training for all major equipment items (Items 001–005) at the Optometrist practice in Spain Valencia. Training sessions shall be conducted in Spanish and shall cover all standard operating procedures for the Optometrist staff.
5. Cancellation: This Purchase Order may be cancelled by the Optometrist practice in writing up to fourteen (14) days prior to the scheduled delivery date. Cancellation after this period shall be subject to a penalty of fifteen percent (15%) of the total Purchase Order value.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Valencia, Spain.
7. Data Protection: Both parties agree to comply with the General Data Protection Regulation (GDPR) and the Spanish Organic Law 3/2018 on Personal Data Protection in the handling of any personal data exchanged in connection with this Purchase Order.
Note: This Purchase Order is specific to the Optometrist practice operations of Clínica Óptica Valencia Sur. All equipment must comply with the Spanish Royal Decree 1591/1997 on medical devices and the applicable regulations of the Generalitat Valenciana. The Optometrist, Dr. María Elena Castellanos, holds a valid professional registration with the Colegio Oficial de Ópticos-Optometristas de Valencia (COOOV). Acceptance and AuthorizationBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Optometrist practice in Spain Valencia. This document constitutes a binding commercial agreement between the Buyer and the Supplier.
