- This Purchase Order constitutes a binding agreement between the Optometrist practice (Buyer) and the Supplier for the supply of optical diagnostic equipment, lenses, frames, and related consumables as itemised above.
- Delivery shall be made to the practice premises located in Sudan Khartoum, Omdurman District, no later than 30 June 2025. The Supplier is responsible for all logistics, customs clearance (if applicable), and final-mile delivery within the Sudan Khartoum metropolitan area.
- Payment shall be made within thirty (30) calendar days of the date of invoice, via bank transfer to the account specified above. Late payments shall attract a penalty of 2% per month as per Sudanese commercial law.
- All equipment must comply with the standards set by the Sudanese Ministry of Health and the Sudanese Optometrists Association. The Optometrist reserves the right to reject any item that does not meet the specified technical parameters or arrives in damaged condition.
- The Supplier shall provide a comprehensive 12-month warranty on all capital equipment (items 1–4 and 10) and a 6-month warranty on optical frames. Lenses and contact lens solutions carry a 3-month shelf-life guarantee from the date of delivery in Sudan Khartoum.
- Installation and calibration of all diagnostic instruments shall be performed by the Supplier's certified technicians at the Optometrist's practice in Sudan Khartoum. The Optometrist and his/her clinical staff shall be provided with a minimum of two (2) hours of on-site training per device.
- This Purchase Order is governed by the laws of the Republic of Sudan. Any disputes arising from this Purchase Order shall be resolved through the commercial courts of Sudan Khartoum.
- The Supplier acknowledges that the Optometrist practice operates under a valid licence issued by the Sudanese Ministry of Health and that all purchased equipment will be used exclusively for licensed optometric services in Sudan Khartoum.
- Force majeure events, including but not limited to natural disasters, civil unrest, or government-imposed restrictions affecting the Sudan Khartoum region, shall extend the delivery deadline by a period equivalent to the duration of the event.
- This Purchase Order may be amended only by written mutual agreement signed by both the Optometrist (or authorised representative) and the Supplier's authorised signatory.
