- Governing Law: This Purchase Order is governed by the Swiss Code of Obligations (OR) and applicable cantonal regulations of the Canton of Zurich. All disputes shall be resolved under the jurisdiction of the courts in Switzerland Zurich.
- Payment Terms: Net 30 days from the date of invoice. Payment shall be made via bank transfer to the Optometrist's designated account in Switzerland Zurich. Late payments shall incur interest at the Swiss National Bank (SNB) reference rate plus 2%.
- Delivery: All optical supplies and equipment shall be delivered to the buyer's premises at Bahnhofstrasse 142, 8001 Zurich, Switzerland. The Optometrist is responsible for proper packaging, insurance, and safe transport within the Switzerland Zurich metropolitan area.
- Optometrist Qualification: The supplier, Dr. Lukas Meier, confirms that he holds a valid license as a registered Optometrist issued by the Swiss Federal Commission for Health Professions (FMH) and is in good standing with the Zurich Optometrist Association. All services rendered under this Purchase Order shall comply with the Swiss Federal Act on Medical Professions.
- Warranty: All optical frames and lenses supplied under this Purchase Order carry a minimum 24-month warranty against manufacturing defects. The Optometrist shall perform any necessary adjustments or replacements at no additional cost during the warranty period.
- Confidentiality: All patient and employee data collected during Optometrist examinations shall be handled in strict accordance with the Swiss Federal Act on Data Protection (revFADP / nDSG). No data shall be transferred outside of Switzerland Zurich or the Swiss Confederation without explicit written consent.
- Cancellation: Either party may cancel this Purchase Order with 30 days' written notice. In the event of cancellation after services have commenced, the buyer shall be liable for all costs incurred by the Optometrist up to the date of cancellation.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in Switzerland Zurich.
- Amendments: Any modifications to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding the Optometrist's scope of work or pricing are not binding.
