1. Acceptance and Validity
This Purchase Order constitutes a formal request for supply from OptiSupply UK Ltd. The order is valid for acceptance within fourteen (14) calendar days of the date of issue. Failure to confirm acceptance within this period shall render this Purchase Order null and void at the discretion of ClearSight Optometry Ltd.
2. Delivery and Risk
Delivery shall be made DAP (Delivered at Place) to the Optometrist practice premises at Deansgate Square, Manchester, United Kingdom. Risk of loss or damage transfers to the buyer upon delivery at the named Manchester location. The supplier bears all transport costs and insurance up to the point of delivery.
3. Quality and Compliance
All items must be new, unused, and in full compliance with applicable United Kingdom legislation governing the sale and use of optical equipment by a registered Optometrist. Any item found to be defective, miscalibrated, or non-compliant with GOC standards shall be returned at the supplier's expense within twenty-one (21) days of delivery.
4. Payment
Payment of the full amount of £24,522.00 (inclusive of VAT) shall be made by BACS transfer to the supplier's nominated bank account within thirty (30) days of the date of a valid tax invoice, provided that all goods have been received and inspected in satisfactory condition at our Manchester Optometrist clinic.
5. Governing Law
This Purchase Order and any disputes arising from it shall be governed by and construed in accordance with the laws of England and Wales. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Manchester, United Kingdom.
6. Confidentiality
Both parties agree to treat all commercial terms, pricing, and patient-related data associated with this Purchase Order as strictly confidential in accordance with UK data protection legislation (UK GDPR and the Data Protection Act 2018).
