Payment Terms: Net 45 days from the date of confirmed delivery and acceptance of goods at the Optometrist clinic facility in Caracas, Venezuela. Payment shall be made via wire transfer to the vendor's account in USD or its equivalent in Venezuelan Bolívares (VES) at the BCV official exchange rate on the date of payment.
- 2. Delivery: All items must be delivered to the address specified in Caracas, Venezuela, no later than July 15, 2025. The vendor is responsible for all transportation, insurance, and customs clearance within the territory of Venezuela. Late delivery beyond 10 business days entitles the Optometrist practice to a 2% penalty per week on the total Purchase Order value.
- 3. Inspection and Acceptance: Upon delivery, the Optometrist team and the clinic's procurement officer will inspect all items for damage, completeness, and conformity with the specifications stated in this Purchase Order. Acceptance is contingent upon a written sign-off by Dra. María Fernanda Rojas, Lead Optometrist.
- 4. Warranty: The vendor guarantees that all capital equipment (items 1 through 5 and 11) shall carry a minimum 24-month manufacturer warranty from the date of acceptance. Consumable items (items 6 through 10 and 12) carry a 12-month warranty against manufacturing defects. The Optometrist practice reserves the right to return defective items within the warranty period at no additional cost.
- 5. Cancellation: This Purchase Order may be cancelled in whole or in part by the Optometrist practice with 15 business days written notice prior to the vendor's confirmed shipment date. In the event of cancellation after shipment, the Optometrist practice shall be liable for the cost of goods in transit.
- 6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of the Bolivarian Republic of Venezuela. Any disputes arising from this Purchase Order shall be resolved through arbitration in Caracas, Venezuela, in accordance with the rules of the Centro de Arbitraje de la Cámara de Comercio de Caracas.
